Licence Agreement

IMPORTANT NOTICE: PLEASE READ CAREFULLY BEFORE INSTALLING THE SOFTWARE: This licence agreement (Licence) is a legal agreement between you and Ypout Limited of 29 Carlton Crescent, Southampton, Hampshire, SO15 2EW, United Kingdom, registered in England as company number 7421623 (‘Licensor‘ or ‘we‘) for this Ypout Software product (‘Software‘).

About the Software

  1. The Software is an IE shell browser that helps you to surf the internet with privacy.
  2. The Software start page and header bar contain ‘Ask.com’ search boxes that allow you to search the internet.  However you may use any search engine of your choice.  You can access Ask web search services by entering (i) queries in the wipeout homepage search box, (ii) queries in the wipeout default search box, and (iii) search queries in the wipeout address bar.
  3. The main features of this software are: an Internet Explorer ‘shell’ for amongst other things an Internet browsing, with tabs, standard navigation usability buttons and default browser settings; a permanent private browsing state, with file deletion on close (including cookies, web cache, index.dat, Flash files), a discrete immediate shutdown button, pop up management, no site or downloads history, no autocomplete (web addresses, previous searches, passwords or form fields); A selection of channels designed for adults and accessed by on/off button, with links to sites of interest to adults (eg. Sport, gambling, adult etc); we also have a zipped download version.
  4. We are licensed to license the Software to you in accordance with the terms of this licence.

THIS SOFTWARE REQUIRES A PC COMPUTER WITH A MINIMUM OF WINDOWS XP OPERATING SYSTEM AND INTERNET EXPLORER (IE) 7. IT WILL NOT OPERATE ON APPLE MAC OPERATING SYSTEMS.

BY CLICKING ON THE “ACCEPT” BUTTON BELOW YOU AGREE TO THE TERMS OF THIS LICENCE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENCE WE SHALL NOT LICENSE THE SOFTWARE TO YOU AND YOU MUST DISCONTINUE INSTALLATION OF THE SOFTWARE.

  1. GRANT AND SCOPE OF LICENCE
    1. In consideration of you agreeing to abide by the terms of this Licence we hereby grant to you a non-exclusive, non-transferable, perpetual, worldwide, personal licence to use the Software on the terms of this Licence.
    2. You may install and use the Software for your private purposes and
    3. make copies of the Software for distribution to others on a not-for-profit basis, provided that all such copies are identical to the Software you downloaded.
    4. transfer the Software from one computer to another;
    5. receive and use any free supplementary software code or update of the Software incorporating “patches” and corrections of errors as may be provided by the Licensor from time to time;
  2. YOUR UNDERTAKINGS
    1. Except as expressly set out in this Licence or as permitted by any local law, you undertake:
    2. you are at least 18 years old
    3. you have attained the minimum age the laws of your country require for you to use this Software if that age is over 18.
    4. not to use this Software in any country where this Software or similar software or the facilities provided through this Software or similar software are illegal.
    5. not to copy the Software except where such copying is incidental to normal use of the Software or where it is necessary for the purpose of back-up or operational security;
    6. not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Software;
    7. not to make alterations to, or modifications of, the whole or any part of the Software nor permit the Software or any part of it to be combined with, or become incorporated in, any other programs;
    8. not to disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of the Software nor attempt to do any such things except to the extent that (by virtue of section 296A of the Copyright, Designs and Patents Act 1988) such actions cannot be prohibited because they are essential for the purpose of achieving inter-operability of the Software with another software program, and provided that the information obtained by you during such activities:
      1. is used only for the purpose of achieving inter-operability of the Software with another software program;
      2. is not disclosed or communicated without our prior written consent to any third party to whom it is not necessary to disclose or communicate it; and
      3. is not used to create any software which is substantially similar to the Software;
    9. to supervise and control use of the Software and ensure that the Software is used in accordance with the terms of this Licence;
    10. to read any and all instructions provided by us on the use of the Software at any given time and to use the software in accordance with those instructions.
    11. not to use the Software for any activity which may be constituted illegal in the country of use.
  3. INTELLECTUAL PROPERTY RIGHTS
    1. We are the owner of all intellectual property rights in our website, and exclusive licensee of the Software. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. You may print off one copy, and may download extracts of any page(s) from our site for your personal reference.
    2. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
    3. Our status (and that of any identified contributors) as the authors of material on our site must always be acknowledged.
    4. You must not use any part of the materials on our site for commercial purposes without obtaining a licence to do so from us or our licensors.
    5. You acknowledge that you have no right to have access to the Software in source code form or in unlocked coding or with comments.

    1. We may provide links on our site to the websites of other companies, whether affiliated with us or not. Some of these sites may be of a gambling or adult nature. We cannot give any undertaking, that services or products that you use or purchase from third parties through our site, or from companies to whose website we have provided a link on our site, will be of satisfactory quality, and any such warranties are DISCLAIMED by us absolutely.
    2. You accept without limitation that we are providing a linked service to other sites and we are not responsible for any content.
  5. OUR LIABILITY
    1. The Software available for download is provided without any guarantees, conditions or warranties as to its quality. To the extent permitted by law, we, hereby expressly exclude:
      1. All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.
      2. Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with downloading our Software or in connection with the use, inability to use, or results of the use of our Software including without limitation any liability for loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted management or office time, any personal loss and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
      3. Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.
    2. The Licensor warrants that it has tested the Software for viruses using commercially available virus-checking software, consistent with current industry practice.
    3. You acknowledge that the Software has not been developed to meet your individual requirements and that it is therefore your responsibility to ensure that the facilities and functions of the Software meet your requirements.
    4. You acknowledge that the Software may not be free of bugs or errors and you agree that the existence of any minor errors shall not constitute a breach of this Licence.
  6. TRANSFER OF RIGHTS AND OBLIGATIONS
    1. This Licence is binding on you and us and on our respective successors and assigns.
    2. The Licensor may transfer, assign, charge, sub-contract or otherwise dispose of this Licence, or any of his rights or obligations arising under it, at any time during the term of the Licence.
  7. ACT OF GOD
    We shall not be liable for any failure to perform our obligations if such failure is as a result of Acts of God (including fire, flood, earthquake, storm, hurricane or other natural disaster),government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity or telephone service.
  8. SEVERABILITY
    If any of the terms of this Licence are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
  9. LAW AND JURISDICTION
    This Licence, its subject matter or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with English law and submitted to the non-exclusive jurisdiction of the courts of England and Wales.
